1. Purpose and Ethical Commitment
Griff Gate Pte Ltd (hereinafter referred to as the Company) distributes the task-specific PC software Chimeratool designed to support mobile device servicing and workshop operations. The Company is committed to conducting its business fairly, responsibly, and transparently, while respecting human rights, applicable laws, and the legitimate interests of customers, employees, partners, and society.
The Company primarily operates in a business-to-business (B2B) commercial model and provides its software to professional users, distributors, resellers, and service providers.
2. Scope and Applicability
This Code applies to all employees, managers, directors, owners, contractors, and any other persons acting on behalf of the Company. Compliance with this Code is mandatory and forms part of the conditions of employment or contractual cooperation.

The Company and its employees shall always act in accordance with applicable laws, regulations, industry standards, and contractual obligations.
This includes compliance with software licensing laws, intellectual property rights, export regulations, and contractual terms agreed at the B2B level, including End User License Agreements (EULAs) concluded with business partners or professional customers.
4. Ethical Business Practices and Business Integrity
The Company conducts its business activities honestly and does not seek unfair advantages in the market. We do not offer or accept bribes, improper payments, or any other unfair advantages in order to obtain business, influence decisions, or secure financial benefits. Gifts or hospitality that could affect professional judgment are not permitted and must be reported to management if offered.
5. Conflicts of Interest
Employees are expected to avoid situations in which personal, financial, or external business interests could conflict with their responsibilities toward the Company. Company positions, internal knowledge, software licenses, or customer relationships may not be used for personal gain or to benefit third parties improperly.
6. Relationships with Business Partners
The Company aims to establish long-term, mutually beneficial relationships with suppliers, distributors, resellers, and service partners. Business partners are expected to operate in compliance with applicable laws, including consumer protection rules that apply to their own sales activities toward end customers, if applicable. In connection with public or government-related contracts, the Company ensures full compliance with public procurement rules and applicable ethical standards.
7. Relationships with Competitors
The Company supports open and fair competition. We do not enter into agreements or discussions with competitors concerning pricing, market sharing, licensing terms, or customer allocation. Participation in trade associations or professional forums is permitted only if it fully complies with competition law and does not pursue anti-competitive objectives.
8. Relationship with Users
The Company is committed to developing and distributing high-quality software that provides reliable functionality and practical value for mobile service operations.
Users are entitled to receive accurate, clear, and complete information about software features, system requirements, licensing models, supported devices, and known functional limitations.
The Company does not market its software in a misleading manner and does not represent workshop, diagnostic, or service functions beyond their actual technical capabilities.
The Company develops software intended for professional and commercial use. In case of distributors, they are particularly expected to communicate relevant information to end users in compliance with local consumer protection laws, if applicable.
9. Licensing Ethics
Software licenses are granted, enforced, and managed transparently and fairly. Licensing terms must be clear, understandable, and consistent with contractual agreements.
The Company does not control the commercial terms under which independent partners offer the software to end users but expects such partners to comply with applicable contract and consumer protection laws, if any. License enforcement mechanisms shall not be designed to intentionally disrupt legitimate business operations of licensed users or to force upgrades beyond contractual obligations.
10. Support and Customer Assistance
The Company provides technical support in a professional and respectful manner. Support commitments, response times, and service levels must reflect what has been contractually agreed or publicly communicated.
11. Software Updates
Software updates, patches, and new versions are released responsibly.
The Company strives to ensure that updates improve functionality, compatibility, or stability and do not unnecessarily disrupt existing workflows used in mobile service environments.
Where updates introduce significant changes, limitations, or discontinued features, reasonable notice and clear communication should be provided to users whenever practicable.
12. Data Protection and Confidentiality
The Company respects the privacy of users and business partners. Any personal or operational data processed in connection with software licensing, activation, or support must be handled lawfully, confidentially, and only for legitimate business purposes, in accordance with applicable data protection laws.
13. Employees and Workplace Conduct
The Company provides a working environment based on mutual trust, respect, and shared responsibility for performance and reputation.
Discrimination or harassment based on age, gender, nationality, ethnicity, religion, or any other protected characteristic is not tolerated.
Recruitment, employment, and promotion decisions are based solely on professional qualifications, skills, and performance. Forced labor and child labor are strictly prohibited.
Employee health and safety are strategic priorities, and the Company is committed to providing a safe and healthy workplace.
14. Owners and Shareholders
The Company provides its owners with regular, accurate, and reliable information regarding its activities, financial position, and overall performance, enabling responsible oversight and informed decision-making.
15. Authorities and Supervisory Bodies
The Company cooperates fully and fairly with regulatory authorities and supervisory bodies. Any communication with authorities must be truthful, complete, and conducted in a professional manner.
16. Social Responsibility and Environmental Protection
The Company aims to act as a responsible participant in society. Within its means, it supports initiatives that promote education, technical skills, and community development.
The Company seeks to minimize its environmental impact by reducing waste, conserving energy, and considering environmental aspects during software development and business operations.
The Company does not support political parties or political organizations.
17. Communication and Enforcement of the Code
This Code of Ethics is made available to employees, business partners, and the public through appropriate internal and external communication channels, including onboarding materials and the Company website. Violations of this Code may result in disciplinary measures or legal consequences.
18. Amendments and Acknowledgment
The Company may amend this Code as necessary to reflect changes in law, business practices, or ethical standards. All employees and representatives are expected to comply with the current version of the Code.
